YOU UNDERSTAND THAT IN NO EVENT WILL CROSSWALK CHURCH OF DENVER OR ITS OFFICERS, DIRECTORS, EMPLOYEES, PARENTS, SUBSIDIARIES, AFFILIATES, AGENTS OR LICENSORS BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, WHETHER IN AN ACTION UNDER CONTRACT, NEGLIGENCE OR ANY OTHER THEORY, ARISING OUT OF: (I) YOUR USE OR INABILITY TO USE THE SERVICE, (II) YOUR RELIANCE ON ANY CONTENT, OR (III) ANY GOODS OR SERVICES ADVERTISED ON THE SERVICE; EVEN IF CROSSWALK CHURCH OF DENVER OR ANY RELATED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Indemnification
You agree to indemnify, defend, and hold harmless Crosswalk Church of Denver, and its subsidiaries, affiliates, officers, directors, employees, consultants, agents, and licensors from any and all third-party claims, liability, damages and/or costs (including but not limited to reasonable attorneys' fees) arising from your failure to comply with the TOU, your infringement, or from your violation of any applicable law.

Miscellaneous
These TOU constitute the entire agreement between you and Crosswalk Church of Denver with respect to the Service, and the TOU replace all prior or contemporaneous understandings or agreements, written or oral, regarding the Service. The TOU shall be governed by the laws of the State of Colorado, without regard to its conflicts of laws provisions. If any provision of the TOU is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions of the TOU shall remain in full force and effect. The failure by Crosswalk Church of Denver to insist upon or enforce strict performance of any provision of the TOU will not be construed as a waiver of any provision or right of Crosswalk Church of Denver. The TOU will inure to the benefit of Crosswalk Church of Denver and its successors and assigns.
